End User Terms

These govern your individual use of the platform, whatever your role. The commercial relationship — pricing, billing and tiers — is a separate agreement between Soundcheck and the agency that licenses the platform for you.

The short version

Who this applies to
Every individual using the Soundcheck Platform, whether you're an agency admin or a member of an agency that licenses the Platform. Pricing and commercial terms between Soundcheck and your agency are handled separately.
What you may not do
Reverse-engineer the Platform, copy its scoring frameworks or report structures, build a competing product based on what you observe, or share login credentials. The Methodology is Soundcheck's trade secret.
What's confidential
Outputs you generate (briefs, personas, focus group results, dashboards) are confidential to your agency and its clients. The Methodology is confidential to Soundcheck. Treat both accordingly.
AI disclosure
The Platform uses generative AI as a core production tool. Outputs may contain errors. You are responsible for reviewing outputs before relying on them or sharing them with clients.

PLEASE READ THESE TERMS CAREFULLY

These End User Terms (the "Terms") govern your individual access to and use of the Soundcheck Insights research platform (the "Platform"), operated by Soundcheck Insights LLC, a Florida limited liability company ("Soundcheck" or "we"). By clicking "I accept," creating an account, or using the Platform, you agree to be bound by these Terms.

If you do not agree, do not click "I accept," do not create an account, and do not use the Platform.

These End User Terms cover your individual use of the Platform. The commercial relationship — pricing, commissions, billing, MSRP, and tier mechanics — is between Soundcheck and the Agency that licenses the Platform on your behalf, governed either by the Trial Tier Commercial Terms (for self-serve Trial-tier admins) or by an Operator Partnership Agreement signed by your Agency. You are not personally responsible for those commercial obligations.

1. WHO YOU ARE

You are an Authorized User of the Platform. Your access is granted by an Agency (the "Agency") that has signed up to use the Platform under either a click-through Trial Tier agreement or a long-form Operator Partnership Agreement. Your authority to use the Platform derives from the Agency's relationship with Soundcheck and from any role assigned to you within the Agency.

2. ACCEPTABLE USE

2.1 You will use the Platform only for legitimate research engagements your Agency has authorized.

2.2 You will not share login credentials. You are responsible for all activity that occurs under your account and will notify Soundcheck or your Agency administrator promptly of any suspected unauthorized use.

2.3 You will not probe, scan, scrape, attack, or otherwise interfere with the Platform, its infrastructure, its rate limits, or its security mechanisms.

2.4 You will not access portions of the Platform that are not made available to your role (for example, another agency's data, another user's drafts, or super-admin tooling).

2.5 You will not use the Platform to produce content that violates any third party's rights or applicable law.

3. CONFIDENTIALITY

3.1 Outputs. Briefs, personas, focus group results, dashboards, and other outputs you generate using the Platform are Confidential Information of your Agency and the Agency's clients. You will treat these outputs as you would any other client deliverable: limit access on a need-to-know basis, protect them with reasonable care, and do not disclose them outside the Agency except as your Agency authorizes.

3.2 Methodology. The Soundcheck Methodology — including without limitation the prompts, scoring algorithms (such as the CVE Score and SRS Score), source-tier hierarchy, claim-typing system, confidence-labeling conventions, persona-synthesis approach, data-aggregation processes, source code, configuration, and architecture — is Soundcheck's trade secret. You will not disclose, copy, describe, or characterize the Methodology to any third party.

3.3 No Personal Data of Real People. Personas referenced in any deliverable are synthetic constructs grounded in research; they do not represent or correspond to any real, identifiable natural person, and Platform outputs do not contain or process the personal data of any real natural person within the meaning of applicable data-protection laws.

3.4 Survival. Confidentiality obligations under this Section 3 survive termination of your access to the Platform.

4. INTELLECTUAL PROPERTY

4.1 Soundcheck IP. The Platform and the Methodology belong to Soundcheck. Nothing in these Terms transfers any ownership in the Platform or the Methodology to you or your Agency.

4.2 Deliverables. Deliverables your Agency produces using the Platform belong to your Agency, subject to your Agency's commercial agreement with Soundcheck and the reservation of the Methodology. You may use Platform outputs only as your Agency authorizes.

4.3 Feedback. If you provide Soundcheck with feedback, suggestions, feature requests, methodology improvements, or other input regarding the Platform ("Feedback"), you hereby assign all right, title, and interest in such Feedback to Soundcheck. Soundcheck may incorporate, use, or commercialize the Feedback without obligation, attribution, or compensation to you or your Agency.

4.4 Trademarks. "Soundcheck Insights," "CVE Score," "SRS Score," "GoGlobal," "Scale Assessment," and the Soundcheck logo and visual identity are trademarks of Soundcheck. These Terms grant you no rights in Soundcheck's trademarks.

5. NO REVERSE-ENGINEERING; NO CLONING

In consideration of your access to the Platform, the Methodology, and Soundcheck's proprietary processes, you covenant and agree that, during your access to the Platform and for twelve (12) months thereafter, you will not, directly or indirectly, alone or through any third party:

  • reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, prompts, scoring algorithms, source-tier hierarchy logic, claim-typing system, confidence-labeling system, persona-synthesis methodology, data-aggregation methods, or other internal workings of the Platform or the Methodology;
  • use any access to the Platform, any deliverable, or any observation of Soundcheck's processes, workflows, user interfaces, mechanics, scoring outputs, or report structures to develop, design, build, fund, advise on, or otherwise contribute to a product, platform, service, or methodology that competes with or is substantially similar to the Platform or the Methodology;
  • assist any third party (including any other consultancy, agency, technology vendor, or AI service provider) in any of the foregoing activities; or
  • copy, recreate, or imitate the structural arrangement, distinctive interface elements, scoring frameworks (including the CVE Score and SRS Score), product taxonomy, or distinctive deliverable formats of the Platform.

Carve-out. Nothing in this Section 5 prevents you from operating your independent advisory practice using your own resources and methods that do not derive from the Platform or the Methodology, or from using widely available, generic AI tools in the ordinary course of your independent business. The burden of demonstrating independent development rests with you.

Equitable relief. A breach of this Section 5 may cause irreparable harm for which monetary damages alone are inadequate. Soundcheck is entitled to seek injunctive and other equitable relief, in addition to other remedies available at law or in equity.

6. AI DISCLOSURE AND OUTPUT RESPONSIBILITY

The Platform uses generative artificial intelligence as a core production tool. Outputs may contain errors, hallucinations, omissions, or biases inherent to AI-generated content. You are responsible for reviewing outputs before relying on them, sharing them with clients, or making decisions based on them. Soundcheck applies senior-strategist review where indicated, but final professional judgment rests with you and your Agency.

7. ACTIVITY LOGGING

Soundcheck logs Platform activity (sign-ins, queries, outputs, file uploads, IP addresses, user-agent strings, and similar metadata) for security, audit, abuse-prevention, billing-reconciliation, and product-improvement purposes. Soundcheck treats activity logs containing your Agency's project information as Confidential Information of your Agency.

8. TERMINATION OF ACCESS

8.1 Soundcheck or your Agency may revoke or suspend your individual access to the Platform at any time, for any reason or no reason, with or without notice. Termination of your access does not, by itself, terminate the agreement between Soundcheck and your Agency.

8.2 Sections 3, 4, 5, 6, 9, 10, 11, 12, and 13 survive termination of your access.

9. DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE PLATFORM, THE METHODOLOGY, AND ALL DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOUNDCHECK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOUNDCHECK DOES NOT WARRANT THAT THE PLATFORM OR ANY DELIVERABLE WILL ACHIEVE ANY PARTICULAR BUSINESS OUTCOME, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

10. LIMITATION OF LIABILITY

10.1 SUBJECT TO APPLICABLE LAW, SOUNDCHECK'S AGGREGATE LIABILITY TO YOU PERSONALLY UNDER THESE END USER TERMS IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100). YOUR AGENCY'S COMMERCIAL RELATIONSHIP WITH SOUNDCHECK IS GOVERNED SEPARATELY AND IS NOT LIMITED BY THIS SECTION.

10.2 SOUNDCHECK IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 This Section 10 does not limit liability for gross negligence, willful misconduct, fraud, or any liability that cannot be limited under applicable law.

11. GOVERNING LAW; DISPUTES

11.1 Governing Law. These Terms are governed by and construed under the laws of the State of Florida, without regard to its conflict-of-laws principles.

11.2 Forum. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.

11.3 Equitable Relief. Soundcheck may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, Confidential Information, or rights under Section 5.

12. UPDATES

Soundcheck may update these Terms from time to time. Material updates will be presented to you as a re-acceptance prompt on your next Platform load. Your continued use of the Platform after the effective date of the updated Terms constitutes acceptance of those updated Terms. Soundcheck will maintain a record of the version of these Terms in effect at any given time and the version you accepted, including timestamp, IP address, and user-agent.

13. ELECTRONIC ACCEPTANCE

Your acceptance of these Terms by clicking "I accept," creating an account, or using the Platform constitutes a binding electronic signature under the Florida Uniform Electronic Transaction Act (Florida Statutes Chapter 668, Part I) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.). You acknowledge that the electronic record of acceptance — including timestamp, IP address, browser information, and the version of these Terms in effect at acceptance — is admissible evidence of the agreement between you and Soundcheck.

14. GENERAL

14.1 Severability. If any provision is held unenforceable, the remaining provisions continue in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving intent.

14.2 Entire Agreement. These Terms are the entire agreement between you and Soundcheck regarding your individual use of the Platform. They do not replace the commercial agreement between Soundcheck and your Agency.

14.3 No Waiver. No failure or delay by Soundcheck in exercising any right under these Terms operates as a waiver.

14.4 Headings. Section headings are for convenience only.
